TERMS OF USE

Automata Agency  |  CITY SKLEP LTD

Website: https://automataagency.co.uk/     Last updated: 10 October 2026

Important: These Terms of Use govern access to our public website and general enquiries. They do not, on their own, form a contract to purchase agency services. Specific paid work is governed by a separate written agreement, proposal or statement of work accepted by both parties.

1. About us

Automata Agency is a trading name of CITY SKLEP LTD (company number 10979973), a private limited company registered in England and Wales. In these Terms of Use, “Automata Agency”, “we”, “us” and “our” refer to CITY SKLEP LTD.

Our registered office is C/O The Accountancy Partnership, Suite 5, 5th Floor, City Reach, 5 Greenwich View Place, London, United Kingdom, E14 9NN. You can contact us at automataagency.uk@gmail.com, on +44 7435 756468, or via https://automataagency.co.uk/contact/.

Our public website at https://automataagency.co.uk/ (the “Website”) describes services including AI-assisted content creation, business automation, digital advertising and marketing consultancy.

2. Scope and acceptance

These Terms of Use apply to anyone who visits, browses, accesses or otherwise uses the Website. By continuing to use it, you agree to comply with these Terms. If you do not agree, please stop using the Website.

The Website is intended mainly for businesses and professional users, but it may also be visited by individuals. Nothing in these Terms removes any mandatory rights that apply to you under consumer or other applicable law.

Where a person contacts us on behalf of an organisation, they should have authority to submit that enquiry and to share any related information. Visiting the Website or submitting an enquiry does not automatically make that organisation our customer.

3. Information, enquiries and service agreements

Website content is provided for general information about our business and services. Descriptions, examples, estimates, case studies and statements about potential time savings or business performance are illustrative unless expressly incorporated into a signed or otherwise validly accepted project agreement.

An enquiry, discovery call, request for a demonstration, quotation or proposal does not oblige either party to proceed. Unless the quotation or proposal expressly states otherwise, it is an invitation to discuss terms rather than a binding offer. No paid service agreement arises merely because you contact us or use the Website.

For an actual project, the parties should agree in writing on the scope, deliverables, fees, payment terms, timetable, approvals, change control, cancellation, support, liability, confidentiality, intellectual property rights and any required data processing arrangements. If a project agreement conflicts with these Website Terms in relation to that project, the project agreement takes precedence to the extent of the conflict.

The Website is not an online checkout, subscription platform or an offer of a standard, self-service paid service. If those features are introduced, additional transaction-specific terms and notices will be provided as appropriate.

4. Permitted use of the Website

You may browse the Website, read its publicly available content and make reasonable personal or internal-business use of that content to assess our services. You may share links to public pages, provided you do not misrepresent the source or imply that we endorse you.

You may not reproduce substantial portions of Website content, copy its design or branding, or commercially exploit any part of it without our prior written permission, except where the law permits such use.

5. Prohibited conduct

You must not use the Website unlawfully, fraudulently, abusively or in a way that infringes another person’s rights. In particular, you must not:

  • attempt unauthorised access to the Website, its hosting, accounts, forms or connected systems;
  • introduce malware, interfere with security measures, overload the Website, or attempt to disrupt its operation;
  • scrape, harvest or extract personal data from the Website unlawfully, or send spam through its contact facilities;
  • impersonate another person or organisation, submit knowingly false information, or infringe intellectual property, confidentiality, privacy or other rights;
  • use Website content to mislead others about our services, professional affiliations, results or endorsements.

We may take proportionate technical or legal steps to protect the Website, investigate misuse or comply with applicable law.

6. Contact forms and information you submit

If you submit an enquiry or send us files or materials, you confirm that the information is accurate to the best of your knowledge and that you have the lawful right or authority to provide it for the stated purpose.

Please do not send passwords, payment-card details, special-category personal data, criminal-offence information, or confidential customer datasets through the general contact form or ordinary email unless we have expressly agreed a suitable secure method and the necessary arrangements.

You retain any rights you hold in materials you send to us. You grant us only the limited permission reasonably necessary to receive, review and respond to your enquiry, subject to applicable law and our Privacy Policy. Submitting materials does not assign ownership to us or authorise us to publish them, train AI models on them, or use them for an unrelated purpose.

Sending us unsolicited concepts or materials does not, by itself, establish a paid engagement, exclusivity or an obligation to develop the proposed idea. Any confidentiality obligations beyond those imposed by applicable law should be agreed separately before sensitive commercial information is shared.

7. AI, automation and advertising information

Our Website discusses AI-assisted creative work, automation, analytics and advertising. AI technology and third-party platforms can produce inaccurate, incomplete, biased, outdated or non-unique material; their features and conditions may change. Website examples are not a guarantee that a particular output, integration or outcome can be achieved for your business.

Information on the Website is not legal, financial, tax, medical, cybersecurity or other regulated professional advice. You should obtain appropriate specialist advice and assess your own operational, legal, brand, copyright and compliance needs before acting on general information.

For commissioned work, the review, approval, use, licensing and ownership of AI-generated deliverables, any third-party tool restrictions, and responsibility for published marketing claims will be addressed in the relevant project agreement. We do not promise that AI-generated materials are unique, free from third-party rights, or suitable for every purpose merely because they were created using AI.

We do not guarantee advertising spend efficiency, rankings, sales growth, revenue, lead volume or other commercial results based on Website content. Results depend on circumstances and, where relevant, on third-party platform decisions.

8. Intellectual property

Unless stated otherwise, the Website and its original text, graphics, layout, logos, branding and other content are owned by us or used with permission from relevant rights holders. All applicable copyright, trade mark and other intellectual property rights are reserved.

You receive a limited, non-exclusive, revocable permission to access and use the Website for its intended purposes. No ownership, licence to use our brand in your marketing, or other intellectual property right is transferred beyond that permission.

Rights in any client materials, pre-existing tools, bespoke deliverables, third-party software or AI-generated outputs for a commissioned project must be determined by the relevant written project agreement and applicable law; these public Website Terms do not purport to transfer those rights.

9. Third-party platforms and links

The Website may link to independent sites, social networks, scheduling tools, analytics services, advertisements, software vendors or other third-party resources. Links are provided for convenience and do not necessarily mean that we control, approve or endorse those services.

Third-party services have their own terms, privacy notices, availability and security practices. We are responsible for our own actions and legal obligations, but not for independent content or conduct of third parties outside our control. Please review relevant third-party terms before using their services.

10. Privacy, cookies and communications

Our handling of personal data in connection with the Website and business enquiries is explained in our Privacy Policy at https://automataagency.co.uk/privacy-policy/. Any cookies, pixels and similar technologies are subject to the rules and choices explained there and in the live Website’s cookie information and controls.

Using the Website or accepting these Terms does not constitute consent to optional cookies or direct marketing where the law requires separate consent. You may contact us about privacy matters using the details in section 1.

If you ask us to contact you, we may respond by the channel you provide. Any separate marketing communications must comply with applicable data protection and electronic marketing law.

11. Website availability and security

We aim to keep the Website reasonably accurate, secure and available, but it may be unavailable from time to time for maintenance, upgrades, failures, security incidents or events outside our reasonable control. We may modify, suspend or discontinue a Website feature where reasonably necessary.

We do not guarantee uninterrupted access or that every Website page, document or link is error-free. You should take reasonable precautions, including using up-to-date security software and checking attachments or links before opening them.

Where we become aware of a material error in published information, we may correct it. Changes to the Website do not retrospectively amend agreed deliverables or obligations under a separate client contract.

12. Accuracy and reliance

We make reasonable efforts to describe our services accurately, but Website information can become outdated and may not reflect every condition or limitation of a proposed engagement. We may update content without separate notice.

You should not treat general Website information, indicative prices or example outcomes as a substitute for a tailored written proposal. Nothing in this section excludes obligations or representations that cannot lawfully be excluded, or terms expressly agreed in a separate contract.

13. Liability and mandatory legal rights

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. Nothing restricts a consumer’s statutory rights.

To the extent permitted by applicable law and subject to the requirement of reasonableness where it applies, we are not responsible for loss arising solely from reliance on general, free-to-access Website content rather than an agreed professional engagement, or from third-party websites or services outside our control.

For business visitors only, and only to the extent lawful and reasonable in the circumstances, we do not accept liability for indirect or consequential business losses arising from access to or use of the public Website, such as anticipated profit or opportunity that was not part of an agreed engagement.

This section applies to the public Website and does not set a liability cap, warranty exclusion or remedy for any paid service. Liability and remedies for commissioned services must be determined by the relevant project agreement and applicable law. If any part of this section cannot lawfully apply to you, it will not affect the remainder of the Terms.

14. Consumer visitors

Although we principally serve organisations, individuals may visit the Website. If you are acting as a consumer, these Terms are subject to any mandatory protections given to you by applicable law, including the Consumer Rights Act 2015 where relevant.

We do not currently offer self-service purchases through the public Website. If we agree to supply a service to you as a consumer, we will provide any separate pre-contract information, cancellation information and contractual terms required by law before you are bound.

15. Changes to these Terms

We may revise these Terms to reflect lawful changes in how the Website operates, our services, technology or applicable law. The current text will be published on this page with a “Last updated” date. Unless the law requires otherwise, changes will apply to use of the Website after publication and will not retrospectively amend an existing client agreement.

If a change materially affects a specific contractual relationship, we will address it in accordance with the applicable agreement rather than relying on this Website notice alone.

16. Enforcement, severability and no waiver

We may restrict access to the Website where reasonably necessary to address a security threat, suspected misuse, unlawful behaviour or a legal obligation. We will act proportionately, taking account of the circumstances.

If a competent court decides that a provision of these Terms is unlawful or unenforceable, that provision will be treated as ineffective only to the necessary extent; the remainder will continue to apply where lawful.

A delay or failure by us to enforce any right does not, by itself, mean that we have waived that right. A person who is not a party to these Terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 1999, except where the law requires otherwise.

17. Governing law and disputes

These Website Terms, and disputes arising from use of the Website, are governed by the laws of England and Wales, subject to any mandatory laws that protect consumers in their country of residence.

Where the law permits, the courts of England and Wales will have jurisdiction over such disputes. This does not deprive a consumer of any mandatory right to bring proceedings in another competent court or rely on mandatory consumer protection rules.

If you have a concern about the Website, please contact us first so that we can try to resolve it informally. This does not affect your legal rights or prevent you from using lawful dispute-resolution procedures.
